By completing and submitting the Salter Submission Form available on this webpage, the person making the submission of the Salter idea enters into a legally binding agreement with i-ngo.com and its parent company, based on the following terms and conditions:
IDENTITY OF THE OWNER
The person making the submission of the Salter Submission Form confirms that he or she is the owner of the Salter idea subject to submission. Such a person confirms that he or she is a current user of i-ngo.com, and in the event that he or she is not a current user of i-ngo.com, he or she will create an Individual account on i-ngo.com before making the submission of the Salter idea.
COMPENSATION
If i-ngo.com rejects a submission or publishes a submission by adding the final Salter to its Salt-of-the-Earth directory, no kill-fees or fees will be paid by i-ngo.com to the owner of the Salter idea or to anyone else.
EDITING
i-ngo.com has the right to publish the submitted Salter idea “as is” (without editing it) on its website without necessarily informing the owner of the Salter idea. Also i-ngo.com has the right to edit and adapt the submitted Salter idea for all of the uses described below. In the event of editing the submission, i-ngo.com agrees not to publish the edited submission without giving the owner of the Salter idea the opportunity to review the edited submission.
CONTACT
i-ngo.com is under no obligation to notify the owner of the Salter idea that the edited or non-edited submission has been rejected. The owner of the Salter idea agrees not to contact i-ngo.com to inquire about the status of his or her submission. i-ngo.com is under no obligation to discuss or respond to inquiries related to any Salter submissions.
RIGHTS
By submitting a Salter idea, the owner of the Salter idea grants i-ngo.com the following irrevocable rights in the submission:
- First North American and World periodical rights in-print and electronically on a non-exclusive basis;
- the non-exclusive right to republish and generally reuse the submission in any media of i-ngo.com; and
- the non-exclusive right to use the submission as well as the owner of the Salter idea's name and biographical data in advertising and promotion of products and services where the submission is used.
All of these rights may be exploited throughout the world by i-ngo.com. It is expressly understood and agreed that i-ngo.com shall not be obligated to publish or continue publication of the submission. If i-ngo.com notifies the owner of the Salter idea in writing that the edited or non-edited submission has been rejected, all rights to the submission shall revert to the owner of the Salter idea.
PUBLISHING DETAILS
i-ngo.com will have the right to publish the submission in style suitable to electronic media; to fix or alter the title of the Salter idea; and to use all customary means to market the submission. i-ngo.com may illustrate the submission with photographs, artwork, and/or illustrations.
WARRANTY
The owner of the Salter idea warrants that the submission is an original work and that the owner of the Salter idea is the sole owner of the submitted piece and has full power and authority to copyright it and to enter into agreement with i-ngo.com; and that the submission does not infringe any statutory or common law copyright, violate any property rights, invade any right of privacy, or contain any scandalous, libelous, or unlawful matter.
The owner of the Salter idea warrants that the owner of the Salter idea has the right to assign the non-exclusive copyright to i-ngo.com and that no portion of the submission has been previously and exclusively assigned to any third-party. The owner of the Salter idea further warrants that no agreement to exclusively publish the Salter idea with a third-party is outstanding. The owner of the Salter idea will defend, indemnify and hold harmless i-ngo.com against all claims, suits, costs, damages and expenses (including reasonable attorneys' fees) that i-ngo.com may sustain by reason of any claim based on any scandalous, libelous, or unlawful matter contained or alleged to be contained in the submitted piece, or any infringement or violation by the submitted piece of any copyright or other property right. The owner of the Salter idea also confirms that the owner of the Salter idea is an independent contractor dealing with i-ngo.com at arm's length, and no employer-employee or other relationship exists between both the owner of the Salter idea and i-ngo.com.
The rules above constitute an agreement between the owner of the Salter idea and i-ngo.com, and the said agreement shall be governed by the laws of the state of Massachusetts in the United States.
